Terms and Conditions

Delivery

If no other term of delivery is specified or arrangement provided for the delivery, the Products will be delivered in accordance with EXW, Incoterms.

Prices

Unless otherwise agreed, the price of the Products and/or services will be the Company’s price as set out in a referenced Quotation.

Payment

Unless otherwise agreed, all payments upon receipt of invoice as set out in a referenced Quotation. In the event of late payment the Company reserves the right: to suspend deliveries and/or cancel its outstanding obligations under these Terms; and to charge interest at an annual rate equal to the lesser of 1.5 % per month or the maximum rate permitted under applicable law on a day to day basis until the actual date of payment.

The Products will remain the property of Layerlab AB up to and until full and complete payment has been made, upon which the title to the Products shall pass to the Customer.

Warranty and disclaimer of warranty

Layerlab represents and warrants to the Customer that the instrument shall be free from defects in material and workmanship and that the instrument shall conform substantially to the functional specifications and Documentation for a period as stated in the Quotation. This warranty is valid providing the certain criteria. All other warranties, representations, terms and conditions (statutory, express, implied or otherwise) as to quality, condition, description, merchantability or fitness for purpose (except for the implied warranty of title) are hereby expressly excluded. In no circumstances shall Layerlab be liable whatsoever for any loss of whatever kind including consequential damage based on the use of the products or damage to the Equipment or its accessories resulting from use by a non-qualified operator or if connected with the introduction of a computer virus into the Customer environment.

Publication of results

Upon written consent from the Researcher, Layerlab may use results, provided by the Researcher and related to Layerlab’s technology, for its own product documentation, posters, speeches, marketing material, etc.

Intellectual property warranty

Layerlab warrants to the best of its knowledge, to the Customer that the Products shall not infringe upon nor violate any patent, copyright, trade secret, trade name or trademark or any other proprietary right of any third person in the form delivered to the Customer by Layerlab when properly used for the purpose and in the manner specifically authorized by Layerlab and/or as stated herein.
